How to Review a Contract Before Signing
A step-by-step checklist for reading obligations, payments, termination rights, and risky language before you sign.
Read the business terms first
Confirm the correct parties, scope, price, delivery dates, and what each party must do. If those details are wrong, polished legal language will not fix the underlying agreement.
Write down the outcome you expect. Then ask whether the document actually promises that outcome, or merely describes a process without committing to a result.
Check money and timing
Find the payment trigger, due date, taxes, expenses, interest on late payments and refund rules. For subscriptions or continuing services, locate the renewal period, cancellation method and notice deadline.
If a contract mentions a schedule, statement of work or policy, obtain that document too. Referenced attachments can carry important obligations.
Find the exit and downside
Read termination, suspension, warranties, indemnities, liability caps and dispute clauses. Ask what happens if the work is delayed, the service fails, the relationship ends early or a third party makes a claim.
Pay attention to asymmetric rights: one party can terminate immediately while the other must give months of notice, or one party bears uncapped liability while the other does not.
